1. Who These Terms Apply To

These Terms apply to everyone who visits urbanoceancorp.com (the “Site”). They supplement any separate written agreement between you and Urban Ocean Corporation (“Urban Ocean,” “we,” “us,” or “our”). If you have a signed agreement with us or with one of our ventures, that document governs that relationship; these Terms govern your use of this Site.

2. About Urban Ocean

Urban Ocean Corporation is an operating holding company headquartered at 100 Terminal Drive, Suite 39, Plainview, New York 11803. It builds and runs operating companies — including UOTech.co, UOTech.ai, and ClubAdmins.com — each of which operates under its own terms. This Site is a marketing and information resource only.

3. Changes to These Terms

We may update these Terms periodically. Material changes will be reflected in the date above and posted on the Site. Continued use indicates acceptance of the revised Terms.

4. Eligibility

You must be at least eighteen years old and have the legal capacity to agree to these Terms. If you use the Site for an organization, you represent that you have authority to bind it.

5. Permitted Use

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Site for lawful informational purposes — reviewing our work, reading content, and submitting inquiries.

All Site content is owned by Urban Ocean or its licensors and protected by copyright and other intellectual property laws. No rights are granted beyond the limited license in Section 5.

7.2 Trademarks

Urban Ocean and venture names, logos, and marks require our prior written permission to use. Other marks belong to their respective owners.

7.3 Feedback

If you send us feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use it for any purpose without obligation or confidentiality.

8. Inquiries and Forms

Submitting a contact form does not create a services, consulting, or professional relationship. Any engagement requires a separate signed agreement describing scope, fees, and terms.

9. No Professional Advice

Site content is general information, not professional advice tailored to your situation. Don't rely on it as a substitute for qualified professional guidance.

10. Third-Party Content, Links, and Services

The Site links to third-party websites and services, including our ventures. We don't control and aren't responsible for their content, policies, or practices. Their own terms and privacy policies govern those interactions.

11. Availability and Changes to the Site

We make reasonable efforts to keep the Site available but make no guarantees about uptime, error-free operation, or device compatibility. We may change, suspend, or discontinue features without notice.

13. Limitation of Liability

To the fullest extent permitted by law, Urban Ocean and its affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits or data. Our total aggregate liability arising from your use of the Site will not exceed one hundred U.S. dollars ($100).

14. Indemnification

You agree to defend, indemnify, and hold harmless Urban Ocean from claims arising out of your use of the Site, your violation of these Terms or the law, or your infringement of any rights.

15. Governing Law and Venue

These Terms are governed by the laws of the State of New York. Any dispute must be brought in the state or federal courts located in Nassau County, New York, and both parties consent to that jurisdiction.

16. Time to Bring a Claim

Any claim must be commenced within one year after the cause of action arises, except where a longer period is required by law.

17. Severability, No Waiver, Assignment

If any provision is found invalid, it will be modified minimally or severed, and the rest remains in effect. Our failure to enforce a provision is not a waiver; waivers must be in writing. You may not assign these Terms without our written consent; we may assign them without notice.

18. Entire Agreement

These Terms, together with the Privacy Policy and any other policies posted on the Site, are the complete agreement regarding your use of the Site and supersede prior agreements on that subject. They do not modify any separate services agreement you may have with us or a venture.
